These Terms of Service (“Terms”) govern your use of the Clearbook Ledgers website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. Clearbook Ledgers (“we,” “our,” or “us”) operates in Yukon, Canada, and provides professional bookkeeping services to Canadian businesses.
Services
Clearbook Ledgers provides bookkeeping services, including but not limited to:
- Monthly bookkeeping
- Catch-up and clean-up bookkeeping
- File reviews and diagnostics
- Optional payroll services for existing bookkeeping clients
We do not provide tax filing, legal advice, or financial advisory services unless expressly agreed to in writing.
Professional Scope & Limitations
Our services are limited to bookkeeping functions based on information provided by the client. We do not audit, review, or verify the accuracy or completeness of client-provided information unless specifically agreed upon.
Clients remain responsible for:
- The accuracy of information supplied
- Compliance with tax and regulatory obligations
- Timely provision of documentation and access
Consultations & Engagements
Consultations are provided to assess suitability and scope. An engagement begins only after:
- Written agreement or acceptance of a proposal
- Payment of any required fees
We reserve the right to decline or discontinue services if a client is not a suitable fit or fails to comply with agreed terms.
Fees & Payment
- Fees are outlined in service agreements or proposals
- Monthly services are billed in advance
- Catch-up and clean-up work is billed as a separate project
- Payments must be made on time
Failure to pay may result in suspension of services until the account is brought current.
Payroll Services
Payroll services, when provided, are offered only as an add-on for existing bookkeeping clients and are not available as a standalone service. Payroll services rely on third-party platforms, and clients remain responsible for approving payroll data and remittances.
Client Responsibilities
Clients agree to:
- Provide complete and accurate information
- Respond to requests in a timely manner
- Use designated communication channels
- Maintain respectful and professional communication
Delays caused by incomplete or late information may affect timelines and deliverables.
Confidentiality
We treat all client information as confidential and take reasonable steps to protect it. Confidential information will not be disclosed except as required by law or with client authorization.
Limitation of Liability
To the fullest extent permitted by Canadian law, Clearbook Ledgers shall not be liable for:
- Indirect, incidental, or consequential damages
- Losses arising from inaccurate or incomplete information provided by the client
- Actions taken based on bookkeeping records prepared using client-provided data
Our total liability is limited to the fees paid for the services giving rise to the claim.
Termination
Either party may terminate services in accordance with the terms outlined in the engagement agreement.
Upon termination:
- Outstanding fees remain payable
- Access to systems may be revoked
- Work completed up to the termination date will be delivered as applicable
Intellectual Property
All website content, branding, and materials provided by Clearbook Ledgers remain our intellectual property unless otherwise agreed in writing.
Third-Party Services
We may use third-party platforms to deliver services. Clearbook Ledgers is not responsible for outages, errors, or issues caused by third-party providers.
Governing Law
These Terms are governed by the laws of Canada and the Territory of Yukon, without regard to conflict of law principles.
Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with a revised effective date.
